EMRiLs Technologies Limited – Standard Terms and Conditions

1.           Application

These Terms and Conditions apply to any Service provided to you by EMRiLs Technologies Limited.

2.           Definitions

“Data” means all the content and source code of the EMRiLs web site, the source code of any Software and the content of any material provided as part of a Service.

“EMRiLs” means EMRiLs Technologies Limited.

“Service” means a specific service provided to you by EMRiLs as agreed from time to time.

“Software” means any computer software sold or licensed as part of a Service or used by EMRiLs in providing a Service.

3.           Application

By using the EMRiLs web site or agreeing to receive any Service from EMRiLs, you agree to be bound by these Terms and Conditions in addition to any other terms we may agree.

4.           License and Intellectual Property

You are granted a limited, non-exclusive, non-transferrable license to use the Data for the purpose and geographical scope agreed for the relevant Service. Subject thereto, you do not acquire any rights or licenses in or to the Data. This document may not be passed into or used in the United States or Canada.

The EMRiLs web site, the Software or any Data may be subject to intellectual property rights of EMRiLs and/or its affiliates and/or third parties that are protected from any unauthorised use, copying and dissemination by copyrights, trademarks, service marks, patents, international treaties, and/or other proprietary rights and laws. You agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained on the EMRiLs web site or the materials provided as part of any Service. You agree that other than any specific license granted, nothing in these Terms and Conditions constitutes an assignment or transfer of such rights and you agree not to take any action that would infringe such rights. 

5.           Limitation on Liability

Services are provided to you at your own risk. Unless explicitly agreed in writing, any Service and anything contained in any Service is provided on an “as is” and “as available” basis and EMRiLs makes no representation or warranty as to the completeness or accuracy of the Service or anything contained in the Service, or its compatibility with your systems.

The Services and materials contained in a Service may rely on data obtained from third party sources which may be incomplete, not up to date or contain errors. EMRiLs shall not be liable for errors or omissions in any Service or materials contained in a Service to the extent arising from third party data. Unless explicitly agreed in writing, EMRiLs shall not be responsible for correcting or completing errors or omissions in third party data.

No Service, Data or any materials provided as part of any Service should be treated or relied on as legal, tax or financial advice.

In no event shall the liability of EMRiLs in respect of a Service exceed the fees paid in respect of such Service. EMRiLs shall not be liable for indirect or consequential loss or loss of opportunity.

6.           Governing Law

These Terms and Conditions shall be governed by and construed in accordance with English law and disputes shall be subject to the jurisdiction of the Courts of England.

7.           Severability

If any provision of these Terms and Conditions is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms and Conditions will remain in force.

8.           Entire Agreement

These Terms and Conditions  constitute the entire agreement between you and EMRiLs, govern your use of any Service, and supersede all prior or contemporaneous written or oral agreements between the parties with respect to the subject matter hereof. These Terms and Conditions may not be amended, nor any obligation waived, without EMRiLs’ written consent.
